This Independent Contractor & Liability Agreement ("Agreement") is entered into between Mechanic Dasher ("Company," "Mechanic Dasher," "we," "us") and the individual submitting a mechanic application ("Contractor," "you").
1. Independent Contractor Status
Contractor is an independent contractor, not an employee, agent, partner, or joint venturer of the Company. Contractor is solely responsible for their own taxes, including self-employment tax, and will receive a Form 1099 if applicable. Nothing in this Agreement creates an employer-employee relationship.
2. Scope of Work
Contractor may accept or decline any job offered through the Mechanic Dasher platform. Contractor sets their own schedule and is not required to accept a minimum number of jobs. Contractor supplies their own tools, vehicle, and equipment.
3. Insurance Requirements
Before taking any job, and for the full duration of their work with Mechanic Dasher, Contractor must maintain, at their own expense: (a) general liability insurance appropriate to mobile automotive repair work, and (b) valid personal auto insurance on the vehicle used to travel to jobs. Garage-keeper's liability coverage is strongly recommended. Contractor must provide proof of coverage before their first job and at any time on request. Failure to maintain required coverage is grounds for immediate removal from the platform.
4. Contractor's Responsibility for Work Performed
Contractor is solely responsible for the quality, safety, and outcome of all repair work they perform. Mechanic Dasher does not supervise, inspect, or guarantee any repair performed by Contractor. Any claim, dispute, or damage arising from work performed is between the Contractor and the customer, not the Company.
Warranty: every completed job carries a 90-day labor warranty (Contractor may offer longer, never shorter). If a repair fails because of Contractor's work within that period, Contractor will correct it at no additional labor charge to the customer and without additional pay for the labor. Parts are covered by the part's own seller or manufacturer warranty. Parts supplied by the customer carry no warranty: Contractor must confirm the part fits and is safe before installing it, may decline a part they believe is wrong, and must tell the customer that no warranty applies.
5. Indemnification
Contractor agrees to indemnify, defend, and hold harmless Mechanic Dasher, its owners, and affiliates from any claims, damages, losses, injuries, or legal fees arising out of or related to: (a) Contractor's performance of repair work; (b) Contractor's negligence, misconduct, or violation of law; (c) any injury or property damage caused by Contractor while performing services; or (d) Contractor's breach of this Agreement.
6. Limitation of Company Liability
Mechanic Dasher acts solely as a platform connecting customers with independent mechanics. To the maximum extent permitted by Texas law, Mechanic Dasher is not liable for any injury, property damage, financial loss, or other harm arising from services performed by Contractor.
7. Background Check & Eligibility
Contractor consents to a background check as a condition of approval and continued participation. Mechanic Dasher may suspend or terminate Contractor's access to the platform at its sole discretion, including for safety concerns, customer complaints, or failure to meet qualification standards.
8. Payment, Pricing & Merchandise
Customers pay Mechanic Dasher directly through the platform for all services. Contractor shall not accept cash, card, Zelle, Cash App, Venmo, or any other direct payment from a customer for services rendered through the platform. Mechanic Dasher will remit Contractor's earnings according to the payout schedule and method disclosed to Contractor, less any applicable platform fee. Contractor authorizes Mechanic Dasher to deduct the cost of any branded merchandise or equipment provided to Contractor from Contractor's next payout, as separately disclosed at the time such merchandise is provided.
Labor rate: Mechanic Dasher sets the hourly labor rate for all jobs on the platform. Contractor must use that rate on every estimate and may not charge a customer a different labor rate, add labor charges outside the platform, or change the rate set on an estimate. Contractor's pay for labor is based on that rate, less the platform fee. Mechanic Dasher may change the rate going forward, and a change will not apply to an estimate a customer has already approved.
9. Taxes & Tax Forms
Before your first payout, Contractor must give Mechanic Dasher a completed IRS Form W-9. Mechanic Dasher may hold payouts until it has the form. Where the law requires, Mechanic Dasher will report payments to Contractor to the IRS and send Contractor the matching tax form. Contractor is solely responsible for reporting and paying all of their own taxes.
10. Dispute Resolution
Any dispute arising from this Agreement shall first be attempted to be resolved informally between the parties. This Agreement does not currently include a binding arbitration clause; if you want disputes routed to arbitration instead of court, that language should be added with the help of a licensed attorney, since enforceability requirements for arbitration clauses vary by state.
11. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles.
12. Entire Agreement
This Agreement, along with the qualification requirements listed on the mechanic application, constitutes the entire agreement between Contractor and Mechanic Dasher regarding this subject matter.
